Stock certificates still exist. There are 2 kinds of stocks - Paper Stock (or stock certs) and Floating Stock (Free Float). When a company initially goes public, the major shareholders will generally receive Stock Certs. These are physical and normally deposited with the company Registrar for safe keeping. The presence of a stock certificate means that a company has incorporated, but it does not necessarily mean that information will be readily available or that a company is public. Private or closely held companies do not sell their stock to the public. Unlisted companies can sell their stock to the public but are not listed on stock exchanges. Most company information that is published covers the small number of companies whose stock is traded on one of the major stock exchanges. Stock certificates represent a shareholder’s ownership in a corporation, as a way for investors maintain and prove their ownership of stock. A stock certificate is a form that states established ownership of a number of shares in a corporation's stock. Stock certificates show a number of shares or units an individual has purchased and serves as an official certificate of ownership or membership in a corporation, non-profit, LLP, or (LLC). Finally, there are public companies (usually corporations), where uncertificated shares have been more prevalent for a longer period.   This SEC summary outlines the possibilities – if you don’t hold a physical certificate, you either have “street name” registration or “direct” registration (DRS). In the United States and other countries, electronic registration is supplanting the stock certificate, with both public and private companies no longer being required to issue paper certificates. In the United States over 420 of the 7,000-plus publicly traded securities do not issue paper certificates. Marking a certificate may render it invalid, but the final authority lies with the company that issued the stock. The firm must keep track of its issued stock, and of any action taken to cancel the shares.
